All users of this site agree that access to and using this site is subject to the following terms and conditions and other applicable laws. If you do not agree to these terms and conditions, please do not use this site or our services.

The entire content included in this site, including but not limited to text, graphics, or code, is copyrighted as a collective work under the United States and other copyright laws and is the property of FluidRank, LLC. The collective work includes works that are licensed to FluidRank, LLC. Copyright 2018, FluidRank, LLC ALL RIGHTS RESERVED. Any other use, including but not limited to the reproduction, distribution, display, or transmission of this site’s content is strictly prohibited unless authorized by FluidRank, LLC.

TERMINATION OF TERMS
These terms and conditions apply to you upon your accessing the site and/or completing the registration or purchasing of services. These terms and conditions are also applicable to any breach, alleged breach, or any problems encountered while retaining and using the service of FluidRank, LLC. These terms and conditions, or any part of them, may be terminated by FluidRank, LLC without notice at any time, for any reason.

LEGAL GROUNDS
Your use of this site shall be governed in all respects by the laws of the state of Georgia, United States of America. You agree that jurisdiction over any legal proceeding directly or indirectly arising out of or relating to this site and its service provided (including but not limited to the purchase of FluidRank, LLC services) shall be in the state or federal courts Fulton County, Georgia. Any cause of action or claim you may have concerning the site (including but not limited to the purchase of FluidRank, LLC products) must be commenced within one (1) year after the claim or cause of action arises. FluidRank, LLC’s failure to insist upon or enforce strict performance of any provision of these terms and conditions shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any of these terms and conditions. FluidRank, LLC may assign its rights and duties under this Agreement to any party at any time without notice to you.

PARTICIPATION DISCLAIMER
FluidRank, LLC does not and cannot review all communications and materials posted to or created by users accessing the site and is not in any manner responsible for the content of these communications and materials. You acknowledge that by providing you with the ability to view and distribute user-generated content on the site, FluidRank, LLC is merely acting as a passive conduit for such distribution and is not undertaking any obligation or liability for any contents or activities on the site. However, FluidRank, LLC reserves the right to block or remove communications or materials that it determines to be (a) abusive, defamatory, or obscene, (b) fraudulent, deceptive, or misleading, (c) in violation of a copyright, trademark or; other intellectual property rights of another or (d) offensive or otherwise unacceptable to FluidRank, LLC in its sole discretion.

NON-DISPARAGEMENT
Upon the full execution of any FluidRank, LLC agreement or proposal, all parties promise and agree that they will not defame or disparage each other, any other party, employee, or individual during or after the completion or termination of any project. This includes negative reviews, comments, negative social media posts, Yelp reviews, Google reviews, or any other private agency or company. Should either party breach this paragraph, the non-breaching party will be entitled to damages and attorney’s fees for any suit for enforcement.

THIRD-PARTY LINKS
To provide increased value to our visitors, FluidRank, LLC may link to sites operated by third parties. However, even if the third party is affiliated with FluidRank, LLC, FluidRank, LLC has no control over these linked sites, all of which have separate privacy and data collection practices, independent of FluidRank, LLC. These linked sites are only for your convenience, and therefore you access them at your own risk. Nonetheless, FluidRank, LLC seeks to protect its website’s integrity, and the links placed upon it and therefore requests any feedback on not only its own site but for sites it links to as well (including if a specific link does not work).

INDEMNIFICATION
You agree to indemnify, defend, and hold harmless FluidRank, LLC, its officers, directors, employees, agents, licensors, and suppliers (collectively the “Service Providers”) from and against all losses, suits, expenses, damages, and costs, including reasonable attorneys’ fees, resulting from any violation of these terms and conditions or any activity related to your account (including negligent or wrongful conduct) by you or any other person accessing the site using your Internet account.

General Terms & Conditions between “Client” & “FluidRank, LLC”

PRICING
Fixed project fees cover services clearly identified in the Scope of Work. If services are requested through a Change Order by the Client for items not clearly identified as included in fixed-fee work, hourly costs will be incurred according to Pay by the Hour or Hourly Retainer Plan rates. Optional hourly services are identified on the Scope of Work and may be selected. Fees on any Service Level Agreement or other monthly retainer are due in advance each month. FluidRank does not offer services that are paid for at the end of completion of the Scope of Work unless stated in an agreement. Otherwise, all payment structures are outlined in the payment section of these terms.

TIMELINE
All projects are entered onto the schedule after receipt of the down payment. Start Date refers to the estimated date that we will begin your project. Although every effort is made to meet or exceed estimated completion dates, estimated timelines represent our best estimate only and in no way indicate a guaranteed timeframe for completion. Fluid Rank, LLC (hereinafter “FluidRank”) shall not be liable for any losses or damages (including consequential or incidental damages) which result from delay or failure to complete projects on or before estimated completion dates. The timeline is subject to change based on projects that may have recently entered the schedule—the client could promptly provide the requested information to maintain project start and completion dates.

PAYMENT
Payment terms are based on project size and subject to FluidRank’s approval as in the payment terms listed below.

  • Monthly, Hourly retainers & projects under $2,500.00 – Payable in advance
  • Projects $2,500.00 – $12,500.00 – 50% down payment, 50% due on completion
  • Projects $12,500.00 – $25,000.00 – 50% down payment, 30% due 6 weeks after signed contract date, 20% due on completion
  • Projects $25,000.00 and over – 50% down payment, progress payments divided over the course of the project as specified in Scope of Work
  • International Projects – payment due in advance with a signed contract

Client delays – If the project is delayed by the client and FluidRank is waiting on necessary approvals, information, or contents required from the Client to complete the project, final payment will be due in full no later than 30 days from the Start Date.

All invoices are due on receipt. Preferred payment methods include Wire Transfer, Cashier’s Check, and Money Order. Visa, MasterCard, Discover, Amex, or PayPal are also acceptable payment forms with a 3% transaction fee. All payments over $7,500.00 are required to be company checks, cashier’s checks, or bank wires payable to FluidRank, LLC.

CHANGE ORDERS
If at any time following acceptance of Scope of Work, Client desires to add additional services, Client shall submit this request in writing, at which time FluidRank will provide a Change Order to be signed by the client and shall be deemed part of this agreement. Work will not commence on change orders until written authorization is received.

HOSTING & DOMAIN
Unless specifically stated in the Scope of Work, the client is to provide a suitable paid hosting account for its website capable of running chosen web applications, along with unhindered access to the hosting account to allow FluidRank to upload files, install software, or make other changes as appropriate for the project. The client will provide its own domain name unless specified in Scope of Work. The client will provide its own SSL certificate unless specified in the Scope of Work.

SUPPORT
Support for web development is not included unless mentioned in the scope of work above. FluidRank, LLC works to ensure the website is free from bugs before launch. Any bugs included in the development FluidRank will fix at no charge for 30 days after launch. After that, FluidRank offers hourly support at $150.00 per hour or in hourly blocks at a reduced rate. All support tickets are reviewed within 24-48 hours. In the event you need priority support, you must purchase an hourly block in advance. FluidRank requires a scope of work, and an explanation of services needs to determine the estimated hours needed to complete the mentioned scope of work.

THIRD-PARTY SOFTWARE
The client must purchase licenses to the software required to operate the website. Ongoing license updates are the responsibility of the Client. The client is responsible for monthly fees when third-party SAAS applications are used.

WORK IN PROGRESS
After work commences, FluidRank will invest significant resources to complete work on the Client’s hosting server, including uploading and live modifications of CSS, HTML, PHP, and other web files. If at any time, the Client or any other third party outside of FluidRank’s control causes FluidRank’s work to be damaged or lost, the Client may incur additional Hourly fees to rebuild lost work.

COPYRIGHTS & TRADEMARKS
Client represents to FluidRank and unconditionally guarantees that any creative elements of text, graphics, images, trademarks, or other artwork furnished to FluidRank for inclusion in web pages are owned by Client or that Client has permission from the rightful owner to use provided creative elements.

ASSIGNMENT OF COPYRIGHT
Upon final payment of this agreement, copyright to the finished assembled work of web pages created by FluidRank is transferred to the client. “Finished assembled work of web pages” refers to the overall graphic layout and text created for a client for use on the website. Except for those supplied by Client, rights to graphics, icons, source code, application code, design proof files, and computer programs are specifically not transferred to Client and remain the property of FluidRank or their respective owners. Rights to all content, including text, photos, graphics, logos, and design proof files submitted by Client to FluidRank remain the Client’s property. FluidRank retains the right to display the website’s graphics, videos, or screenshots as examples of work in its portfolio and display an attribution link in the website’s footer.

OWNERSHIP
All Work Product and intellectual property rights therein (including but not limited to patent, copyright, trademark, and trade secrets) (collectively the “Protected Works”) shall be owned exclusively by the Client. All Protected Works created by Service Provider or Service Provider’s personnel pursuant to any Agreement that is subject to copyright protection and that qualify as “works made for hire” for the benefit of Client under the Copyright Act of 1976, as amended, are hereby deemed “works made for hire” and consequently are owned exclusively by Client. To the extent, that any Protected Works created by Service Provider pursuant to any Agreement that are subject to copyright protection do not qualify as “works made for hire,” then Service Provider hereby assigns and agrees to assign to Client ownership of such Protected Works.

PRE-EXISTING & THIRD-PARTY MATERIALS
Notwithstanding the provisions of Section Ownership, the Service Provider shall

  • retain the full right, title, and ownership to any code base or other materials developed prior to the rendering of Services hereunder
  • deliverables hereunder may depend on third-party code and utilities (extensions, plugins, etc.) that are the property of their respective owners. No right to such third-party code or utilities is expressed or implied hereunder, and additional licensing may be required for such third party assets.
  • If any of the Service Providers’ pre-existing code base or other materials are used in a deliverable, Service Provider grants Client a non-exclusive, fully paid, perpetual license to use and modify the pre-existing intellectual property for internal use.

LEGAL INFORMATION
FluidRank does not warrant that the functions contained in the web pages or the website will meet the Client’s requirements or that the website’s operation will be uninterrupted or free of error. FluidRank will not be held liable to the Client or any third party for damages, including lost revenue, profit, lost savings, or other incidental, consequential, or special damages arising out of site downtime or the normal operation thereof. This agreement shall be governed by and construed following the laws of the State of Georgia.

INDEMNIFICATION
FluidRank shall indemnify, defend and hold you harmless against any claims brought against the Client to the extent FluidRank infringed on any trademark, copyright, or patent in the United States or misappropriated any trade secret of a third party and will pay damages and costs awarded therein against Client if notified promptly in writing of such suit and given complete control of the defense or settlement of same; provided, however, that FluidRank shall not be held liable for any claim of infringement based on the use of the content, photos, software, images or graphics provided by Client and over which FluidRank has no control, and further provided that the liability of FluidRank under this agreement shall in no event exceed the amount paid FluidRank by Client hereunder.

CANCELLATION
Either party may terminate this Agreement upon written notice in the event of breach by the other party if the non-breaching party provides written notice of a such breach to the breaching party, such notice to include reasonable details regarding the alleged breach, and the breaching party does not cure such breach within five (5) days of such notice, or b) upon fourteen (14) days notice without cause.

  • If Client terminates Service Provider without cause and prior to the launch (i.e. negligence, incompetence, etc.), Client shall pay an hourly rate of $150.00 per hour for all hours performed to date.
  • If Service Provider terminates this Agreement prior to the completion of the Scope of Work, the Client shall only be obligated to pay Seventy Five (75%) percent of the amount owed for services provided as of the date of termination.
  • The Parties agree to use reasonable efforts to negotiate a termination clause in forthcoming documents related to Sections in your contract agreement and the ongoing work to be performed by Service Provider following the launch.

EFFECT OF TERMINATION
Upon termination of any Agreement, all provisions of that Agreement shall cease, except the provisions herein that by their nature shall survive, including but not limited to the provisions Assignment of Copyright and Confidentiality.

CONFIDENTIALITY
Service Provider acknowledges and agrees that Confidential Information (as defined below) will come into its possession in connection with any Agreement and its performance of Services hereunder. Accordingly, Service Provider hereby agrees to hold such information in confidence, not to make use thereof other than for the performance of any Agreement, and to release it only to employees requiring such information, and not to release or disclose it to any other party. The foregoing obligations shall remain in effect during the term of this Agreement and for a period of three (3) years after termination or expiration of any Agreement for any reason.

COMPATIBILITY
Although we endeavor to give each visitor the same website viewing experience, FluidRank cannot guarantee all design elements work with all browsers, especially older browsers that don’t support HTML5 or CSS3. Our sites look best in Internet Explorer 11+, Microsoft Edge 17+, Firefox 64+, Chrome 71+, and Safari 12+. Mobile template design not included, unless specified above.

Any notice given in connection with this Agreement shall be given in writing and shall be delivered either by hand to the other party, by nationally recognized overnight delivery service, by United States mail, or by email to the following addresses:

Understanding the Ocean Plastic Crisis

When most people hear about the ocean plastic crisis, they think about hot button topics like the great pacific garbage patch which has received a great deal of publicity over the last decade. Here at Company, we want the public to understand that the true nature of this pollution crisis is not just found in the distant center of our oceans; it reaches every shore across the globe. Everyday plastic is continually dumped into the ocean where it is free to circulate. In the roughly 70 years since widespread plastic production began, the exponential rate of production and low rate of recycling have led to millions of pounds of plastic entering our oceans every year.

Plastic itself was heralded as a miracle material around the dawn of the 20th century. By harnessing natural and synthetic polymers, flexible plastic materials began to become widespread in the 1950s. Because of its low cost, waterproof properties, and ease of manufacturing, this new material quickly found its way into countless products. Now, almost 70 years since mass production began, we are dealing with the realities of widespread plastic use.

One of the reasons plastics were so highly valued was their sturdiness. Plastics did not shatter like glass or rot like wood. Instead, they remained flexible and resilient. While these properties make plastics an amazing commercial material, they have also made plastics a nightmare to get rid of. Since widespread production began, due to a lack of data, no one knows exactly how much plastic has become waste. Estimates on the topic vary from 1 billion to over 5 billion tons of total plastic waste in the world with a large portion of that waste ending up in waterways and, ultimately, the ocean.

Humans have historically used waterways to dispose of waste since organized societies first emerged. The basic concept is simple, throw your waste into moving water and it is carried away never to be seen again. While this practice had minimal impact when simply being used to remove sewage and food byproducts, the industrial revolution began the process of dumping hazardous and toxic waste into waterways. As long as the waste was carried away, it ceased to exist in the eyes of polluters and this process has remained in place for nearly 200 years.

Flash forward to the modern day and we see that this long established practice is finally catching up to us. Plastics will not simply go away when we dump them in the sea. The ocean’s cooling effect and saline environment actually help prevent the rapid decomposition of plastics’ high mass polymer structure. When you add the fact that plastics tend to be buoyant, the result is thousands of pounds of dumped plastic following currents until they eventually wash up elsewhere.

Company was founded as a direct result of this ocean plastic crisis. While on a trip to Bali, our founders Alex and Andrew discovered beaches, which should have been gorgeous tropical oases, instead covered in piles of plastic waste. They watched as more and more waste built up on the shores with every break of the waves while local fishermen battled through the deluge just to reach open water. Horrified by the sheer magnitude of this seemingly unending tide of plastic, Alex and Andrew decided to create a business focused on removing plastic from our most valuable natural resource.

Company is dedicated to funding plastic cleanup efforts across the world. We are able to fund this work by selling our bracelets. Instead of relying solely on donations, we developed a system where every bracelet we sell helps to fund the removal of at least one pound of plastic waste during one of our clean up projects. This approach both helps us maintain funding for our clean up projects and promotes awareness for this important cause.

Using a lifestyle brand to fund our cleanup may seem unconventional, but it allows us to use our profits as we see fit in ways that would not be possible for a non profit. In order to maintain transparency, we verify our clean up results and how our funds are allocated with the Better Business Bureau. Over 98% of our profits go towards our clean up efforts and we want our customers to be absolutely certain that every bracelet purchase goes directly towards plastic clean up.

We make all of our bracelets from recycled materials. The bracelets are made with a combination of post consumer plastic waste and about 5% ocean plastic and glass. While we promise to remove one pound of plastic for every bracelet sold, our current numbers actually far exceed this promise. Our bracelets not only contribute directly to funding our clean up efforts, but they also help spread awareness about the Company mission.

We take the profit from these sales and use it to manage facilities and hire clean up crews and ships to remove plastic 7 days a week. We currently are operating out of Florida, Bali, Haiti, and Texas after only two years in operation. As we continue to grow, we look forward to spreading the Company cleanup efforts to new locations around the globe.
